Estonia Crypto Company Formation — OÜ Setup Guide 2026

Tallinn business district — Estonian OÜ formation for FIU MiCA CASP crypto license

Estonia offers the fastest and most digital-first EU company formation experience. An OÜ (Osaühing) — Estonia's private limited company — can be registered in the e-Business Register (äriregister) in 1–2 weeks, fully remotely. Estonian e-Residency allows non-Estonian nationals to manage their company entirely digitally — signing resolutions, filing documents, and accessing e-services without ever traveling to Estonia. With minimum share capital of €2,500, crypto-friendly banks including LHV Pank and SEB Estonia, and a registered address in Tallinn, your Estonian OÜ is ready for the FIU VASP/CASP license application within weeks. Estonia's FIU has processed more crypto licenses than any other EU NCA — deep regulatory familiarity with crypto business models. From €3,500, fully remote.

The Estonian OÜ — Digital-First Entity for Crypto Businesses

The Osaühing (OÜ) is Estonia's private limited liability company — the most commonly used entity for startups, fintechs, and regulated financial services businesses. It is governed by the Estonian Commercial Code (Äriseadustik) and provides full limited liability to shareholders. The OÜ is the expected entity type for any MiCA CASP authorization application with Estonia's FIU (Financial Intelligence Unit / Rahapesu Andmebüroo).

Key Corporate Features

  • Minimum share capital: €2,500
  • Single-member possible: A single shareholder and single director structure is fully supported
  • Directors: Management board — no Estonian residency requirement for directors
  • Shareholders: No restriction on nationality or residency
  • Corporate tax: 0% on reinvested profits; 20/80 rate on distributed dividends — one of the most favorable in the EU
  • Registered in: äriregister (e-Business Register) — fully digital, publicly searchable
Estonian E-Residency Program

Estonian e-Residency is a government-issued digital identity card for non-Estonians. It allows you to sign documents digitally using EU-qualified electronic signatures, incorporate an OÜ online, and manage the company remotely. E-Residency does not confer Estonian residency, citizenship, or tax residency. Applying takes approximately 3–5 weeks (government processing). We advise on whether e-Residency is beneficial for your specific situation — it is not mandatory for OÜ formation. Ask us about e-Residency →

Estonian OÜ Formation Steps

Estonia's fully digital company registration system makes OÜ formation the fastest in the EU. Our team manages the complete process, including e-Residency support for clients who wish to manage the company digitally long-term.

1
KYC & Document Collection
We collect KYC documentation for all directors and beneficial owners. For e-Residency applicants, we assist with the e-Residency application process and coordinate timing with OÜ formation. For non-e-Residents, we prepare the notarized power of attorney required for remote registration. Timeline: 3–5 business days.
2
Articles of Association (Põhikiri) Preparation
We draft the OÜ articles of association (põhikiri) tailored for a MiCA CASP business — including an appropriate objects clause covering crypto-asset services, governance provisions, and share structure. For e-Residency holders, documents are signed digitally. Timeline: 2–3 business days.
3
E-Business Register (äriregister) Submission
We submit the OÜ registration application to the äriregister electronically. The register typically confirms registration within 1–5 working days. Upon approval, the OÜ receives its registration number (registrikood) and is immediately publicly searchable. We obtain certified extract (äriregistri B-kaart) in Estonian and English. Timeline: 1–5 working days from submission.
4
Tax Registration & Registered Address
We complete Estonian tax registration (EMTA — Maksu- ja Tolliamet), VAT registration where applicable, and activate the registered address in Tallinn at our partner business center (Regus or comparable). Address provision includes mail handling and FIU communication forwarding. Timeline: same day as registration confirmation.
5
Bank Account Introduction
We prepare the bank introduction package for LHV Pank and SEB Estonia — the two most crypto-friendly Estonian banks — and manage the account opening process. LHV Pank has the deepest experience with FIU-licensed crypto companies. Timeline: 2–4 weeks from introduction (bank-dependent).
6
FIU CASP Application Preparation
With the OÜ registered and operational, we proceed to the FIU CASP authorization application. We prepare the complete FIU submission package including business plan, AML policy, DORA ICT framework, governance documentation, and fit and proper materials. See our Estonia CASP License page for the full authorization guide.

After Formation: FIU CASP Authorization

Estonia's Financial Intelligence Unit (FIU / Rahapesu Andmebüroo) is the MiCA National Competent Authority for Estonia. The FIU has processed more crypto asset service provider registrations than any other EU NCA — processing thousands of VASP registrations between 2018 and 2022, before tightening requirements significantly in 2022 following a major market cleanup that cancelled more than 2,000 shell registrations. As a result, the FIU is highly experienced in evaluating crypto business models and applies rigorous substance requirements to CASP applicants.

FIU CASP Application Requirements

  • Detailed business plan with 3-year financial projections and product/service description
  • AML/KYC policy compliant with Estonia's MLTFPA (Money Laundering and Terrorist Financing Prevention Act) and ESMA guidance
  • DORA ICT operational resilience framework (mandatory from January 2025)
  • Internal governance manual and conflict-of-interest policy
  • Fit and proper documentation for all board members and key function holders
  • Evidence of genuine substance: local operational presence, compliance officer based in Estonia
  • MiCA-compliant crypto-asset whitepaper (if applicable under Art. 6)

FIU statutory review period: up to 65 working days from a complete application. Total timeline from OÜ formation to CASP authorization: approximately 3–5 months. See our full Estonia CASP License page for the complete FIU authorization guide and current processing times.

Estonia Company Formation FAQ

What is an Estonian OÜ?
An OÜ (Osaühing) is an Estonian private limited liability company — the most commonly used commercial entity in Estonia, analogous to a UK Ltd or German GmbH. It provides full limited liability to shareholders, can be formed with a single shareholder and director, and is the standard vehicle for regulated financial services businesses including MiCA CASP applicants. Minimum share capital: €2,500. Registered in the äriregister (e-Business Register) — fully digital and publicly searchable. Estonia's unique corporate tax system taxes only distributed profits (not retained earnings), making it highly attractive for businesses that reinvest.
Can I use Estonian e-Residency for my crypto company?
Yes. Estonian e-Residency is a digital identity program that allows non-Estonians to incorporate and manage an OÜ entirely online — signing documents with EU-qualified digital signatures, accessing e-tax, and submitting annual reports without traveling to Estonia. E-Residency application takes approximately 3–5 weeks (government processing). However, e-Residency does not substitute for FIU substance requirements: you still need a genuine operational presence, a local Compliance Officer, and real business activity in Estonia for CASP authorization. We advise on whether e-Residency is optimal for your specific situation.
What is the fastest way to form a company in Estonia?
Estonia is the fastest EU jurisdiction for company formation — typically 1–2 weeks from engagement to a registered OÜ. The e-Business Register processes applications within 1–5 working days. E-Residency holders can complete the entire process digitally. For non-e-Residents, a notarized power of attorney enables remote registration without travel. By comparison, Polish KRS registration takes 2–3 weeks and Lithuanian Registrų centras takes 1–3 weeks. Estonia's digital-first e-government infrastructure makes it the clear choice when speed of incorporation is the priority.
Do I need a local director for an Estonian OÜ?
Estonian corporate law does not require directors to be Estonian residents. However, the FIU applies rigorous substance requirements to MiCA CASP applicants following Estonia's 2022 VASP market cleanup. At minimum, the FIU expects: effective management located in Estonia, at least one director with genuine authority over the entity, and a locally based Compliance Officer / MLRO. Shell structures and pure letterbox entities will not pass FIU scrutiny. We structure the director and governance arrangement to satisfy FIU substance expectations from day one.
How do I open a bank account for an Estonian crypto company?
The most crypto-friendly Estonian banks are LHV Pank (Estonia's largest domestic bank, with deep experience in crypto and fintech) and SEB Estonia. LHV has worked extensively with FIU-licensed crypto companies. The account opening process requires: certified OÜ documents, beneficial ownership information, a detailed business description and AML questionnaire, source of funds declarations, and director identification. Timeline: 2–4 weeks from application. We prepare the complete bank introduction package and facilitate introductions, significantly improving success rates compared to direct approaches.
What is the FIU VASP licensing process after formation?
After OÜ formation, we prepare the FIU CASP authorization application under MiCA. The FIU (Rahapesu Andmebüroo) is Estonia's MiCA NCA. We prepare the complete submission: business plan, AML/KYC policy (MLTFPA-compliant), DORA ICT framework, governance policies, fit and proper documentation, and financial projections. The FIU statutory review period is up to 65 working days. Total formation-to-CASP-authorization timeline: approximately 3–5 months. An FIU CASP authorization carries full EU passporting rights to all 27 member states under MiCA Article 65. See our Estonia CASP License page.

Estonian Digital Infrastructure for Crypto Companies

The combination of e-Residency, digital company management, and crypto-experienced banking partners creates the most efficient EU incorporation environment available.

Banking Partners in Estonia

  • LHV Pank: Estonia's largest domestic bank, founded by entrepreneurs, with extensive experience in fintech and crypto company banking. LHV has a dedicated fintech team and has onboarded hundreds of FIU-licensed crypto businesses. Corporate account opening is thorough but predictable.
  • SEB Estonia: International banking group (Swedish parent) with Estonian operations. Works with regulated financial services businesses. Suitable for companies with cross-border ownership or Scandinavian connections.
  • Revolut Business: EMI-based business account option for payment services. Useful as a supplementary payment account but not a substitute for a full banking relationship for CASP purposes.
